1. Overview

Welcome to Ouna.

The terms “Ouna,” “we,” “us,” and “our” refer to Ouna and the legal entity operating Ouna as identified in the Contact section below.

Ouna operates this website and related services, including community events, Ouna Run registrations, communications, content, products, ecommerce features, and other services that may be offered from time to time (collectively, the “Services”).

Our website and certain portions of the Services are powered by Shopify.

These Terms of Service (“Terms”) govern your access to and use of the Services.

By accessing or using the Services, registering for an Ouna event, creating an account, or purchasing a product or service, you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, please do not use the Services.

Nothing in these Terms limits any rights or remedies that cannot legally be excluded under applicable consumer-protection or other law.

2. Eligibility and Accounts

You must have the legal capacity to enter into agreements applicable to the Services you use.

In British Columbia, the age of majority is 19 years old.

Ouna Run Events

All Ouna Run events are currently restricted to individuals who are 19 years of age or older.

By registering for or participating in an Ouna Run event, you represent that you are at least 19 years old.

We may refuse or cancel a registration where we reasonably believe that the participant does not meet the applicable eligibility requirements.

Account Information

If you create an account or provide information through the Services, you agree that the information you provide will be accurate, current, and complete.

You are responsible for maintaining the confidentiality and security of your account credentials and for activity conducted through your account.

3. Ouna Events and Registrations

Ouna may organize community runs, social events, training sessions, wellness activities, collaborations, pop-ups, and other activities.

Event descriptions may include information such as:

  • date;
  • time;
  • meeting location;
  • distance;
  • expected pace;
  • capacity;
  • eligibility;
  • equipment recommendations;
  • cost, if any; and
  • other participation requirements.

You are responsible for reviewing the event information before registering and participating.

Registration does not guarantee that an event will occur exactly as originally described.

Ouna may limit event capacity and may close registration once capacity has been reached.

Unless otherwise stated, registrations are personal to the registered participant and may not be transferred to another person without Ouna’s approval.

4. Ouna Run Waiver and Release

Participation in an Ouna Run event requires acceptance of the separate Ouna Run Waiver, Release of Liability & Assumption of Risk.

The Run Waiver is a separate legal agreement from these Terms.

Before completing registration, participants may be required to:

  • confirm that they are 19 years of age or older;
  • review the applicable Run Waiver;
  • provide their full legal name as an electronic signature; and
  • expressly confirm acceptance of the Run Waiver.

If there is a conflict between these Terms and the Run Waiver concerning risks, injuries, liability, or participation in an Ouna Run event, the Run Waiver will govern those matters to the extent permitted by law.

You should not participate in an Ouna Run event if you do not understand or agree to the applicable Run Waiver.

5. Event Risks, Health and Personal Responsibility

Running and other physical activities involve risks.

Participants are responsible for determining whether they are physically capable of safely participating in an Ouna event.

Ouna does not provide medical advice and does not guarantee that coaches, run leaders, volunteers, organizers, or other participants are medical professionals.

You are responsible for your own:

  • physical condition;
  • health decisions;
  • hydration;
  • clothing;
  • footwear;
  • equipment;
  • pace;
  • route awareness; and
  • decision to begin, continue, or stop participating.

If you feel injured, unwell, unsafe, or physically unable to continue, you should stop participating and seek appropriate assistance.

Additional risk and liability provisions relating to Ouna Runs are contained in the applicable Run Waiver.

6. Participant Conduct

Participants are expected to act respectfully and responsibly.

When participating in an Ouna event, you agree to:

  • follow reasonable safety instructions provided by event organizers or run leaders;
  • comply with applicable laws and traffic rules;
  • respect other participants, volunteers, partners, venues, and members of the public;
  • avoid conduct that creates an unreasonable safety risk;
  • refrain from harassment, intimidation, discrimination, threatening conduct, or violence; and
  • refrain from intentionally disrupting an Ouna event.

Ouna may refuse, suspend, or terminate a person’s participation where we reasonably believe their conduct creates a safety concern, materially disrupts the event, violates these Terms, or threatens another person.

7. Event Changes, Weather and Cancellation

Outdoor events may be affected by weather, air quality, route conditions, public safety issues, venue availability, transportation disruptions, governmental restrictions, emergencies, or circumstances outside Ouna’s reasonable control.

Ouna may:

  • change an event date or time;
  • change a route or meeting location;
  • modify the distance or format;
  • postpone an event;
  • limit participation; or
  • cancel an event

where reasonably necessary.

We will make reasonable efforts to communicate material event changes using the contact information provided during registration.

Where an event has a registration fee, any refund or credit will be handled in accordance with the event-specific terms, applicable refund policy, and applicable law.

8. Products and Services

Ouna may offer physical products, food-related products, apparel, accessories, memberships, services, event registrations, or other offerings in the future.

We make reasonable efforts to display products accurately.

However, colours, textures, proportions, and appearance may vary depending on your screen, device, photography, lighting, manufacturing variations, or other factors.

Product descriptions, pricing, availability, specifications, and offerings may change without notice.

We may discontinue a product or service or limit quantities available to a customer or geographic area.

Nothing in this section limits rights that consumers may have under applicable law.

9. Orders

When you submit an order through the Services, you are making an offer to purchase.

An order is not accepted until we confirm acceptance.

We may decline or cancel an order where reasonably necessary, including because of:

  • product unavailability;
  • incorrect pricing or product information;
  • suspected fraud;
  • payment issues;
  • legal or regulatory restrictions; or
  • other legitimate business reasons.

If we cancel an order after payment has been processed, we will provide any refund required by applicable law.

Please review your order carefully before submitting it.

10. Prices, Payment and Taxes

Prices may change without notice.

Unless otherwise stated, prices displayed on the Canadian Ouna store are in Canadian dollars (CAD).

Applicable taxes, shipping charges, duties, or other charges may be added as disclosed during checkout.

You agree to provide accurate payment and billing information.

By providing a payment method, you represent that you are authorized to use it.

When Ouna enters into online consumer transactions, applicable BC consumer-protection requirements concerning disclosure, the opportunity to review and correct an electronic contract, and delivery of contract information may apply.

11. Shipping and Delivery

Where Ouna sells physical products, shipping methods, estimated delivery times, and applicable charges will be displayed or otherwise communicated where applicable.

Delivery dates are estimates unless expressly stated otherwise.

Delays may occur because of carriers, customs, weather, supply interruptions, emergencies, or other circumstances outside Ouna’s reasonable control.

Any allocation of risk of loss or title will be subject to applicable consumer law.

12. Returns, Exchanges and Refunds

Returns, exchanges, cancellations, and refunds for products or paid services will be governed by the applicable Refund Policy, any event-specific terms, and applicable law.

Where applicable consumer law gives you cancellation, refund, or other rights, those rights are not excluded by these Terms.

BC law imposes particular disclosure and cancellation requirements on certain online or distance sales contracts.

When Ouna begins selling physical products publicly, we will maintain a separate Refund Policy appropriate to those products.

13. Intellectual Property

Unless otherwise stated, the Services and their contents—including Ouna’s name, logos, branding, photographs, graphics, videos, designs, text, website layout, product designs, and other materials—are owned by or licensed to Ouna and are protected by applicable Canadian and international intellectual-property laws.

You may access and use the Services for personal, lawful, non-commercial purposes.

Except where permitted by law or expressly authorized by Ouna, you may not:

  • reproduce;
  • distribute;
  • republish;
  • sell;
  • modify;
  • create derivative works from;
  • publicly display;
  • commercially exploit; or
  • otherwise use

Ouna content without prior permission.

Nothing in these Terms grants ownership of Ouna’s trademarks, copyright, designs, or other intellectual property.

“OUNA” and associated brand elements may be protected trademarks or other intellectual property of Ouna or its licensors.

14. Third-Party Services and Links

The Services may contain links to or integrations with third-party websites, social-media platforms, payment providers, maps, event services, apps, or other third-party tools.

Ouna does not control those third parties.

Your use of third-party services may be governed by their own terms and privacy policies.

We are not responsible for third-party content, availability, security, products, representations, or practices except where applicable law provides otherwise.

15. Relationship with Shopify

Ouna is powered by Shopify, which enables us to provide the Services to you.

However, any sales and purchases you make through our store are made directly with Ouna.

By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of sales between you and Ouna, including any injury, damage, or loss resulting from purchased products and services.

You release Shopify and its affiliates from claims, damages, and liabilities arising from or related to your purchases and transactions with Ouna, to the extent permitted by applicable law.

This section reflects the Shopify relationship language contained in Shopify’s generated Terms template.

16. Privacy

Our collection, use, storage, and disclosure of personal information is governed by our Privacy Policy.

The Privacy Policy can be viewed at:

Certain information may also be processed by Shopify according to Shopify’s own privacy practices.

By using the Services, you acknowledge that you have had an opportunity to review our Privacy Policy.

17. Feedback and Submissions

If you voluntarily provide Ouna with suggestions, ideas, reviews, comments, or other feedback relating to Ouna or the Services, you grant Ouna a non-exclusive, worldwide, royalty-free right to use that feedback for legitimate business purposes, including improving and promoting the Services.

You represent that you have the right to provide any content you submit and that your submission does not unlawfully infringe the rights of another person.

This section does not grant Ouna ownership of your personal information, which remains subject to our Privacy Policy.

18. Photography and Media

Ouna events may be photographed or recorded.

Where Ouna seeks identifiable photographs or video of participants for marketing, advertising, social media, or promotional use, any consent required for that purpose may be collected separately.

Acceptance of the Ouna Run Waiver does not automatically constitute marketing or promotional media consent unless the applicable form expressly states otherwise.

19. Errors and Availability

Information displayed through the Services may occasionally contain errors, omissions, inaccuracies, outdated information, or technical issues.

We may correct or update information where necessary.

This may include information relating to:

  • events;
  • availability;
  • product descriptions;
  • prices;
  • promotions;
  • shipping;
  • inventory; or
  • website content.

If an error materially affects an existing consumer transaction, we will address the matter in accordance with applicable law.

20. Prohibited Uses

You may use the Services only for lawful purposes.

You may not use the Services to:

  • violate applicable federal, provincial, local, or international law;
  • infringe another person’s intellectual-property, privacy, or other rights;
  • harass, threaten, abuse, intimidate, or harm another person;
  • impersonate another person or organization;
  • knowingly submit false or misleading information;
  • distribute malware, viruses, or malicious code;
  • interfere with the security or operation of the Services;
  • conduct unauthorized scraping or automated extraction;
  • collect personal information about other users without lawful authority;
  • send spam or unauthorized commercial communications; or
  • attempt to bypass technical or security measures.

We may restrict or terminate access where we reasonably believe these Terms have been violated.

21. Termination

We may suspend or terminate access to some or all of the Services where reasonably necessary, including for violations of these Terms, unlawful conduct, safety concerns, fraud, abuse, or security risks.

Termination does not affect rights or obligations that arose before termination.

Sections that by their nature should continue after termination—including intellectual property, liability, indemnification, governing law, and privacy obligations—will continue to apply.

22. Disclaimer of Warranties

Except where expressly stated by Ouna or required by applicable law, the Services are provided on an “as is” and “as available” basis.

We do not guarantee that the website or Services will always be uninterrupted, error-free, secure, or available.

General information provided through the Services is not intended as medical, health, legal, financial, or other professional advice.

You are responsible for evaluating information before relying on it.

Nothing in this section excludes warranties, conditions, guarantees, or consumer rights that cannot legally be excluded.

23. Limitation of Liability

To the fullest extent permitted by applicable law, Ouna and its directors, officers, employees, contractors, service providers, volunteers, representatives, and agents will not be liable for indirect, incidental, special, punitive, exemplary, or consequential losses arising from your use of the Services.

Nothing in these Terms excludes or limits liability where doing so would be prohibited by law.

Liability relating specifically to participation in an Ouna Run event is additionally governed by the separate Ouna Run Waiver, Release of Liability & Assumption of Risk accepted during registration.

These Terms do not replace that waiver.

24. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless Ouna and its directors, officers, employees, contractors, representatives, and service providers from third-party claims, losses, liabilities, damages, or reasonable costs arising from:

  • your material violation of these Terms;
  • your unlawful use of the Services;
  • your infringement of another person’s rights; or
  • your intentional or wrongful conduct.

This provision does not require you to indemnify Ouna for liability that cannot legally be shifted to you.

25. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where necessary.

The remaining provisions will continue in effect.

26. No Waiver

If Ouna does not immediately enforce a provision of these Terms, that does not constitute a waiver of our right to enforce it later.

27. Entire Agreement

These Terms, together with policies and agreements expressly incorporated by reference, constitute the agreement governing your use of the Services.

However, separate agreements may apply to specific Services.

In particular:

Ouna Run participation is also governed by the applicable Ouna Run Waiver & Release.

Where another agreement expressly states that it governs a particular matter, that agreement will apply to that matter.

28. Assignment

You may not assign your rights or obligations under these Terms without our prior written consent.

Ouna may assign these Terms in connection with a legitimate corporate restructuring, financing, merger, acquisition, sale of assets, or transfer of the business, subject to applicable law.

29. Governing Law

These Terms are governed by the laws of the Province of British Columbia and the applicable federal laws of Canada.

Subject to any rights that cannot legally be waived, disputes relating to these Terms or the Services will be subject to the jurisdiction of the courts of British Columbia.

This replaces the Shopify template’s vague “federal and state or territorial courts” wording, which isn’t appropriate for a Vancouver-based operation.

30. Changes to These Terms

We may update these Terms periodically to reflect changes to:

  • the Services;
  • Ouna events;
  • products;
  • our operations;
  • applicable law; or
  • other legitimate business requirements.

The current version will be posted on this page with an updated Last updated date.

Where required by law, additional notice will be provided.
