IMPORTANT — PLEASE READ CAREFULLY
THIS IS A BINDING LEGAL AGREEMENT. BY ACCEPTING THIS AGREEMENT, YOU ARE ASSUMING RISKS AND GIVING UP CERTAIN LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE OUNA AND THE OTHER RELEASED PARTIES FOR CLAIMS COVERED BY THIS AGREEMENT, INCLUDING CERTAIN CLAIMS ARISING FROM NEGLIGENCE.
1. Eligibility and Voluntary Participation
I confirm that I am 19 years of age or older and that I am voluntarily choosing to participate in an Ouna Run.
I understand that participation is optional and that I may choose not to participate, may reduce my level of participation, or may stop participating at any time.
I understand that Ouna is a social running community and that participation in an Ouna Run does not constitute medical care, medical supervision, physiotherapy, personal medical advice, or a guarantee of my safety.
2. Definition of Activities
For purposes of this Agreement, the “Activities” include all activities connected directly or indirectly with an Ouna Run or Ouna-organized running activity, including without limitation:
meeting or gathering before or after a run; walking, jogging and running; warm-ups and cool-downs; stretching; running drills; coaching, instruction and demonstrations; pace-group participation; use of roads, sidewalks, trails, pathways, stairs, parks and public spaces; social activities connected to the run; and participation at or around meeting, starting and finishing locations.
The Activities may occur on public or private property and may take place in changing weather, traffic, lighting and surface conditions.
3. Released Parties
For purposes of this Agreement, the “Released Parties” means:
Niki Majlesi Creations Ltd., operating as Ouna, together with Ouna and its present and future directors, officers, founders, shareholders, employees, contractors, coaches, head coaches, run leaders, volunteers, representatives, agents, photographers, event staff, sponsors, partners and affiliates, as well as the owners, operators and occupiers of any premises, facilities, cafés, meeting locations, parks, routes or other property used in connection with the Activities, and their respective representatives, where applicable.
4. Acknowledgement of Risks
I understand and acknowledge that running and related physical activities involve foreseeable and unforeseeable risks, hazards and dangers, some of which cannot be eliminated regardless of the care, caution, instruction, supervision or expertise exercised.
These risks include, without limitation:
running, walking, sudden movements, acceleration, stopping and physical exertion; fatigue, exhaustion, dehydration, overheating, hypothermia and exposure to weather; muscle strains, sprains, torn muscles, ligaments or tendons, fractures, dislocations and other orthopedic injuries; falls, slips, trips and collisions; concussion, head injury, spinal injury, paralysis, permanent disability and death; cardiovascular events including abnormal heart rhythms, loss of consciousness, cardiac arrest or heart attack; aggravation of known or unknown medical conditions; respiratory problems, allergic reactions, illness and communicable disease; potholes, curbs, stairs, gravel, rocks, roots, mud, water, snow, ice, debris, uneven pavement, poor lighting and other irregular or defective surfaces; interaction or collision with runners, pedestrians, cyclists, scooters, animals, vehicles, equipment, structures or stationary objects; motor vehicle traffic, intersections, driveways and road crossings; becoming lost, separated from the group or unable to complete the planned route; changing or extreme weather conditions; delayed or unavailable medical assistance; conduct, errors or actions of other participants or members of the public; and other risks associated with outdoor running and physical activity.
I understand that these risks may result in minor injury, serious injury, permanent disability, property damage, financial loss or death.
5. Coaching, Leadership and Supervision Risks
I understand that Ouna may provide coaches, run leaders, pace leaders, volunteers or other persons to help organize or support the Activities.
I acknowledge that coaching, instruction, supervision and organizational decisions may themselves involve risks, including errors in advice, pace recommendations, route selection, group placement, instruction, supervision, communication, warnings or emergency response.
I understand that the presence of a coach, head coach, run leader or volunteer does not guarantee my safety and does not transfer responsibility for assessing my own physical condition or ability to Ouna.
I remain responsible for deciding whether a pace, route, exercise, instruction or Activity is appropriate for me.
6. Health and Personal Responsibility
I represent that, to the best of my knowledge, I am physically and mentally capable of participating safely in the Activities.
I understand that it is my responsibility to consider my medical condition, fitness, experience and abilities before participating and to seek medical advice where appropriate.
I will not participate while impaired by alcohol, recreational drugs, medication or any other condition that could make participation unsafe.
If I experience pain, dizziness, unusual shortness of breath, chest discomfort, weakness, injury, disorientation or any other symptom that concerns me, I agree to stop or reduce my participation and seek appropriate assistance.
I understand that I am responsible for choosing suitable footwear, clothing, hydration and other equipment for the conditions.
7. Rules, Directions and Route Safety
I agree to exercise reasonable care for my own safety and the safety of others.
I agree to follow reasonable safety instructions given by Ouna coaches, run leaders or representatives.
I understand that Ouna may change the route, pace structure, timing, starting location, Activity or other event details because of weather, traffic, safety, operational considerations or other circumstances.
I understand that roads, trails, sidewalks and public spaces may remain open to other users and that Ouna cannot control traffic, members of the public, weather, road conditions or all hazards encountered during a run.
If I observe a significant hazard or believe continuing would be unsafe for me, I will stop or remove myself from the Activity.
8. Assumption of Risk
I FREELY AND VOLUNTARILY ACCEPT AND ASSUME ALL RISKS, DANGERS AND HAZARDS ASSOCIATED WITH MY PARTICIPATION IN THE ACTIVITIES, WHETHER KNOWN OR UNKNOWN, FORESEEABLE OR UNFORESEEABLE, INCLUDING THE POSSIBILITY OF SERIOUS INJURY, PERMANENT DISABILITY AND DEATH.
I understand that I participate at my own risk.
9. Release and Waiver of Claims
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, I waive, release and forever discharge the Released Parties from claims, demands, actions, causes of action, damages, losses, expenses and liabilities that I now have or may later have arising out of or relating to my participation in the Activities.
This release is intended to include claims arising from, without limitation:
the negligence of one or more Released Parties; negligent coaching, advice or instruction; negligent supervision; negligent route selection or pace-group placement; failure to warn of a hazard; failure to take reasonable steps to safeguard a participant; negligent emergency response, first aid or rescue; acts or omissions; carelessness; breach of contract; and, to the extent legally capable of being released under British Columbia law, gross negligence or breach of a statutory duty of care.
This release does not purport to exclude liability that cannot lawfully be excluded or waived under applicable law.
10. Emergency Assistance
I authorize Ouna, its coaches, run leaders, volunteers or representatives to seek or arrange first aid, emergency medical assistance, ambulance transportation or other emergency services if they reasonably believe such assistance may be appropriate.
I understand that Ouna does not guarantee that medical personnel, first aid, ambulance services or emergency assistance will be immediately available.
I acknowledge that delays may occur because of location, traffic, weather, communication problems or other circumstances.
I agree that I am responsible for costs associated with ambulance transportation, medical treatment or other emergency services to the extent those costs are not otherwise covered.
To the fullest extent permitted by law, I release the Released Parties from claims arising from good-faith emergency assistance or negligent rescue or emergency response, subject to any liability that cannot lawfully be waived.
11. Personal Property
I understand that I am solely responsible for my personal property before, during and after the Activities.
Ouna is not responsible for lost, stolen, damaged or unattended phones, wallets, clothing, bags, bicycles, vehicles, equipment or other personal belongings, except to the extent liability cannot lawfully be excluded.
12. Transportation
Unless Ouna expressly agrees otherwise in writing, I am responsible for my own transportation to and from any Ouna Run.
I assume the risks associated with travelling to, from or between Activity locations.
13. Participant Conduct and Third-Party Claims
I am responsible for my own actions and conduct while participating in the Activities.
I agree to comply with the Ouna Community Standard and to respect the safety, personal space and boundaries of other participants.
To the fullest extent permitted by law, I agree to indemnify and hold harmless the Released Parties from claims, liabilities, damages or reasonable legal costs brought by a third party to the extent caused by my negligent, reckless, unlawful or intentional acts or omissions during the Activities.
Nothing in this Agreement gives me permission to disregard the rights, safety or boundaries of another person.
14. Removal From Activities
I understand that participation in an Ouna Run is a privilege, not an entitlement.
Ouna may refuse participation, require a participant to stop participating, ask a participant to leave an Activity, or decline that person's participation in future Ouna Activities where Ouna reasonably considers this appropriate for safety, misconduct, violation of the Community Standard, harassment, intimidation, discrimination, unwanted advances, disruption or other behaviour inconsistent with the Ouna community.
This provision is separate from my assumption of physical risks under this Agreement.
15. No Reliance
In deciding to participate, I acknowledge that I am not relying on any statement, representation or assurance by Ouna or a coach, run leader, volunteer or representative that participation is risk-free or safe for me personally.
Any pace recommendation, training suggestion or coaching instruction is general in nature and does not replace professional medical advice.
16. Severability
If any portion of this Agreement is found by a court of competent jurisdiction to be invalid, illegal or unenforceable, that portion will be limited or severed only to the extent necessary, and the remaining provisions will continue in effect to the fullest extent permitted by law.
17. Governing Law and Jurisdiction
This Agreement is governed by the laws of the Province of British Columbia and the applicable laws of Canada.
Subject to any mandatory legal rights that cannot be varied by agreement, any proceeding relating to this Agreement or participation in the Activities will be brought in the courts of British Columbia.
18. Electronic Agreement and Records
I agree that this Agreement may be presented, accepted, signed and stored electronically.
By checking the waiver-acceptance box and entering my full legal name as an electronic signature, I intend to sign this Agreement and to be legally bound by it.
I consent to Ouna retaining an electronic record of my acceptance, including my name, email address, date and time of acceptance, applicable event information and the version of this Agreement that I accepted.
British Columbia's Electronic Transactions Act recognizes electronic records and electronic signatures and provides that contractual acceptance can be expressed electronically, including through an appropriately designated click.
19. Binding Effect
I intend this Agreement to bind me and, to the extent permitted by law, my estate, heirs, next of kin, executors, administrators, personal representatives and anyone claiming through or on my behalf.
20. Acknowledgement
I ACKNOWLEDGE THAT I HAVE READ THIS ENTIRE AGREEMENT CAREFULLY, UNDERSTAND ITS TERMS, UNDERSTAND THE NATURE OF THE RISKS INVOLVED, AND UNDERSTAND THAT I AM GIVING UP IMPORTANT LEGAL RIGHTS.
